•Client's breach of these Terms or any Service Agreement
•Client's violation of any law or third-party rights

10. Termination
10.1 Termination Rights
Either party may terminate a service engagement as specified in the applicable Service Agreement. These Website Terms remain in effect until terminated.

10.2 Effect of Termination
Upon termination:
•Client remains responsible for fees incurred prior to termination
•Confidentiality obligations survive termination
•Each party shall return confidential information as requested

11. Force Majeure
We shall not be liable for delays or failures in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, government actions, pandemics, or other unforeseeable events.

12. Dispute Resolution
